Please read this Affiliate Agreement carefully before applying to or participating in the Reakiro Affiliate Program.
This is a legally binding agreement between you and Novel Nutraceuticals Sp. z o.o. By submitting an application to join the Reakiro Affiliate Program, you confirm that you have read, understood and agreed to be bound by this Agreement.
This Affiliate Agreement ("Agreement") contains the complete terms and conditions between Novel Nutraceuticals Sp. z o.o., a company organised under the laws of the Republic of Poland, company number KRS 0001056063, with its registered address at Wiertnicza 115, 02-952 Warsaw, Poland ("Novel Nutraceuticals", "we", "us" or "our"), and you, the business, individual or entity applying to or participating in the Reakiro Affiliate Program ("Affiliate", "you" or "your").
The Reakiro Affiliate Program relates to products sold through www.cbdreakiro.com and any other official sales channel designated by Novel Nutraceuticals from time to time.
Novel Nutraceuticals uses BixGrow or another affiliate platform selected by Novel Nutraceuticals to operate and manage the Reakiro Affiliate Program.
1. DEFINITIONS
"Affiliate" or "you" means the business, individual or entity applying to or participating in the Reakiro Affiliate Program, or promoting Reakiro and/or SOOL products through a website, social media, newsletter, blog, community or other approved channel using an affiliate link or coupon code in exchange for the opportunity to receive commission on qualifying referred sales.
"Affiliate Site" means the Affiliate’s website, social media profile, blog, newsletter, community or other promotional channel used to promote Reakiro and/or SOOL products.
"Affiliate Link" means a unique tracking link assigned to an Affiliate through the affiliate platform.
"Affiliate Coupon" means a unique discount code assigned to an Affiliate through the affiliate platform.
"Products" means products available for purchase from www.cbdreakiro.com or another official sales channel designated by Novel Nutraceuticals.
"Qualifying Referred Sale" means a completed sale that is validly tracked through the affiliate platform, is not cancelled, refunded, fraudulent, self-referred or otherwise ineligible, and complies with this Agreement.
"Approved Materials" means product images, banners, product descriptions, logos, claims, links and other promotional materials provided or approved by Novel Nutraceuticals.
2. ENROLLMENT IN THE AFFILIATE PROGRAM
2.1. To apply to the Reakiro Affiliate Program, you must complete and submit the online application form available at:

2.2. You must provide accurate, complete and up-to-date information when applying, including your name, email address, country, website, social media profile, promotional channel and any other information requested by Novel Nutraceuticals.
2.3. You must be at least 18 years old and legally capable of entering into a binding agreement.
2.4. Submission of an application does not guarantee acceptance into the Reakiro Affiliate Program. Novel Nutraceuticals may approve, reject, suspend or terminate any application or Affiliate account at its sole discretion.
2.5. We may reject your application or terminate your participation if we determine, in our sole discretion, that your Affiliate Site, promotional channel, content, business model or conduct is unsuitable for the Reakiro Affiliate Program.
2.6. Unsuitable Affiliate Sites or promotional channels include, but are not limited to, those that:
- promote sexually explicit material, violence, illegal activities, discrimination, hate speech, harassment, defamatory content or otherwise objectionable content;
- promote gambling, weapons, illegal drugs, adult content, counterfeit products, misleading schemes or other inappropriate content;
- infringe or assist others to infringe copyright, trademarks or other intellectual property rights;
- contain malware, spyware, browser extensions, forced clicks, cookie stuffing or other technology intended to manipulate affiliate tracking;
- make medical, therapeutic, disease-related or unauthorised health claims;
- use misleading, deceptive, exaggerated or unsubstantiated statements;
- create legal, regulatory, reputational or commercial risk for Novel Nutraceuticals, Reakiro or SOOL.
2.7. If your application is rejected, you may not reapply using the same or a different domain, URL, email address, identity or account in order to bypass our decision.
2.8. Novel Nutraceuticals reserves the right to request additional information before approving or continuing any Affiliate account.
3. AFFILIATE ACCOUNT AND PROMOTIONAL MATERIALS
3.1. Once your application has been approved, you will receive access to your affiliate dashboard.
3.2. Your affiliate dashboard may provide access to your Affiliate Link, Affiliate Coupon, performance data, commission data and Approved Materials.
3.3. Only promotional materials approved by Novel Nutraceuticals may be used by the Affiliate. Approved Materials may contain Reakiro and/or SOOL trademarks, logos, images, slogans and product information.
3.4. Novel Nutraceuticals grants you a non-exclusive, limited, revocable and non-transferable licence to use Approved Materials solely for the purpose of promoting Products in accordance with this Agreement.
3.5. You must not modify Approved Materials in a way that changes their meaning, creates unauthorised claims, misrepresents the Products, or damages the reputation of Novel Nutraceuticals, Reakiro or SOOL.
3.6. You must not use the names "Novel Nutraceuticals", "Reakiro", "SOOL", "cbdreakiro", "cbdreakiro.com" or confusingly similar wording in your domain name, subdomain, social media handle, social media page name, paid advertising account, marketplace account, business name or email address without prior written approval.
3.7. You must not present yourself as Novel Nutraceuticals, Reakiro, SOOL, an employee, official distributor, official reseller or official brand representative unless separately authorised in writing.
3.8. You must immediately remove or update any outdated, incorrect, discontinued or non-compliant content, links or promotional materials upon request by Novel Nutraceuticals.
4. AFFILIATE TRACKING COOKIES
4.1. We track affiliate sales automatically through the affiliate platform using Affiliate Links, Affiliate Coupons, cookies and other tracking technologies.
4.2. The standard cookie duration is 90 days unless otherwise stated in your affiliate account or agreed in writing.
4.3. If a user clicks an Affiliate Link, a tracking cookie may be placed in that user’s browser. If a previous affiliate cookie is already placed in the same user’s browser, it may be overwritten by a subsequent affiliate cookie according to the rules of the affiliate platform.
4.4. If cookies are deleted, blocked or rejected by the user, or if tracking fails due to browser settings, privacy tools, technical issues or other reasons outside our control, Novel Nutraceuticals is not responsible for any commission that may not be tracked.
4.5. Novel Nutraceuticals reserves the right to review, correct, reject, reverse or adjust tracking and commission records where tracking is inaccurate, manipulated, fraudulent, duplicated or inconsistent with this Agreement.
5. AFFILIATE COMMISSION AND PAYMENT
5.1. Affiliates may be eligible to receive commission on Qualifying Referred Sales in accordance with the commission structure assigned to their affiliate account.
5.2. Unless otherwise agreed in writing or assigned to a specific affiliate account, the standard commission rate is 20% on eligible referred sales.
5.3. Where enabled by Novel Nutraceuticals, Affiliates may receive an Affiliate Coupon that provides a customer discount. Unless otherwise specified, the standard customer discount may be 10%.
5.4. Novel Nutraceuticals may assign different commission structures, discount values, product eligibility rules or campaign terms to specific affiliates, products, campaigns, territories or affiliate groups at its sole discretion.
5.5. Commission is calculated on eligible referred sales only. Commission is not payable on cancelled orders, refunded orders, chargebacks, fraudulent orders, test orders, self-referrals, shipping fees, taxes/VAT, duties, or orders placed in breach of this Agreement.
5.6. Commission may be subject to a holding and approval period of up to 90 days to allow for cancellations, returns, refunds, chargebacks, fraud checks and compliance review.
5.7. Only approved commissions are eligible for payout.
5.8. Affiliate commissions are paid by bank transfer only unless Novel Nutraceuticals expressly confirms another lawful payment method in writing.
5.9. Payout requests may be submitted once the approved commission balance reaches the minimum payout threshold of €200.
5.10. To process a payout, Affiliates must provide accurate bank details and, where required, a valid invoice issued to Novel Nutraceuticals Sp. z o.o.
5.11. Affiliates are solely responsible for all taxes, duties, social security contributions, invoices, registrations, reporting obligations and other legal obligations arising from their participation in the Reakiro Affiliate Program and receipt of commission.
5.12. Novel Nutraceuticals is not responsible for payment delays caused by incorrect bank details, missing invoices, incomplete tax or payment information, compliance review, banking delays or failure by the Affiliate to comply with applicable legal requirements.
5.13. Novel Nutraceuticals reserves the right to approve, decline, adjust, reverse, deduct or withhold commissions where an order is cancelled, refunded, suspected of fraud, generated through prohibited activity, or otherwise deemed ineligible.
5.14. If commission has already been paid for an order that is later refunded, cancelled, charged back or deemed ineligible, Novel Nutraceuticals may deduct the corresponding amount from future commissions or request repayment.
6. SELF-REFERRALS
6.1. Self-referrals are strictly prohibited.
6.2. Affiliates may not use their own Affiliate Link or Affiliate Coupon to place personal orders.
6.3. Affiliates may not create orders on behalf of themselves, family members, employees, contractors, related persons, related entities or controlled accounts for the purpose of earning commission.
6.4. Novel Nutraceuticals reserves the right to void commissions, cancel discounts, suspend or terminate the Affiliate account and recover paid commissions in the event of self-referrals or suspected self-referrals.
7. COMPLIANCE, CLAIMS AND PROMOTIONAL RESTRICTIONS
7.1. Affiliates must comply with all applicable laws, regulations, guidance, platform rules and advertising standards in every country where they promote Products.
7.2. This includes, but is not limited to, laws and rules relating to consumer protection, unfair commercial practices, advertising disclosure, influencer marketing, e-commerce, data protection, privacy, cookies, electronic marketing, food information, nutrition and health claims, food supplements, CBD, hemp-derived ingredients, product safety and intellectual property.
7.3. Affiliates must not make any medical, therapeutic, disease-related or unauthorised health claims about the Products.
7.4. Affiliates must not state or imply that Products diagnose, treat, cure or prevent any disease or medical condition, including but not limited to anxiety, depression, stress disorders, pain, inflammation, insomnia, cancer, epilepsy, arthritis, neurological conditions, immune diseases, hormonal conditions, addiction or any other disease or health condition.
7.5. Affiliates must not present Products as medicines, medical treatments, substitutes for medical advice, or products intended to diagnose, treat, cure or prevent disease.
7.6. Affiliates must not encourage consumers to stop, replace, delay or avoid medical treatment, medication, professional diagnosis or medical advice.
7.7. Affiliates must not provide dosage, medical or therapeutic advice unless the exact statement has been approved in writing by Novel Nutraceuticals and is lawful in the relevant market.
7.8. Affiliates must only use Product descriptions, claims, images, banners and marketing materials approved by Novel Nutraceuticals.
7.9. Affiliates acknowledge that rules applicable to CBD, hemp-derived ingredients, food supplements and related products may differ between EU Member States and other countries.
7.10. Affiliates must not promote Products in any country, region, platform or channel where such promotion, sale, marketing or distribution is restricted or prohibited by applicable law or platform policy.
7.11. Affiliates must not promote Products to minors or create content that is primarily directed at minors.
7.12. Novel Nutraceuticals may request immediate removal or amendment of any content that creates legal, regulatory, product safety or reputational concerns.
7.13. Any breach of this section may result in immediate suspension or termination from the Reakiro Affiliate Program and forfeiture or reversal of unpaid commissions.
8. ADVERTISING DISCLOSURE AND AFFILIATE MARKETING
8.1. Affiliates must ensure that all promotional content is clearly identifiable as commercial communication.
8.2. Any content containing Affiliate Links, Affiliate Coupons, gifted products, commission-based recommendations, paid placements, sponsored content or any other commercial incentive must clearly and prominently disclose the commercial relationship with Novel Nutraceuticals.
8.3. Disclosures must be clear, prominent, understandable and visible to the average consumer before or at the time the consumer engages with the affiliate content or link.
8.4. Affiliates must use disclosure wording appropriate for the relevant language, platform and jurisdiction. Examples may include "advertisement", "ad", "paid partnership", "affiliate link", "commission link" or equivalent wording required by the relevant platform or applicable law.
8.5. Affiliates must not hide disclosures in unclear hashtags, collapsed text, small print, profile pages only, terms and conditions only, or any location that consumers are unlikely to see before engaging with the content.
8.6. Affiliates must not create fake reviews, fake testimonials, undisclosed paid endorsements, misleading endorsements or content that misrepresents the Affiliate’s experience with the Product.
8.7. Affiliates must not conceal the commercial purpose of their content.
9. PROHIBITED ADVERTISING AND COUPON PRACTICES
9.1. Affiliates must not use spam, unsolicited commercial email, unsolicited SMS, unsolicited direct messages, automated messaging, purchased email lists, scraped contact lists or any other unlawful electronic marketing.
9.2. Affiliates may send promotional messages only to recipients who have lawfully consented or where another valid legal basis applies under applicable law.
9.3. Affiliates must clearly represent themselves and their websites or channels as independent from Novel Nutraceuticals, Reakiro and SOOL.
9.4. Affiliates must not advertise in any way that conceals or misrepresents their identity, domain name, return email address, commercial intent or relationship with Novel Nutraceuticals.
9.5. Affiliates may not bid on, purchase, use or target paid advertising keywords containing "Novel Nutraceuticals", "Reakiro", "SOOL", "cbdreakiro", "cbdreakiro.com", misspellings of these names, or any other protected brand terms without prior written approval.
9.6. Affiliates may not run paid advertisements that link directly to our website or that create the impression that the advertisement is official brand advertising without prior written approval.
9.7. Affiliates may not publish Affiliate Coupons or Reakiro/SOOL discount codes on coupon, voucher, deal, cashback, browser extension, toolbar or discount interception websites without prior written approval.
9.8. Affiliates must not promote expired, fake, unauthorised or misleading discount codes.
9.9. Novel Nutraceuticals reserves the right to decline, reverse or withhold commissions generated through unauthorised coupon placements, misleading discount pages, expired coupon listings, browser extensions, cashback interception, cookie stuffing or traffic that does not represent genuine referred customer acquisition.
9.10. Affiliates must not promote Products through marketplaces, resale platforms or third-party shops unless separately authorised in writing.
9.11. Affiliates must not resell Products unless they have a separate written reseller, distributor or dropshipping agreement with Novel Nutraceuticals.
9.12. Any breach of this section may result in immediate termination and forfeiture or reversal of unpaid commissions.
10. DATA PROTECTION AND PRIVACY
10.1. Each party shall comply with all applicable data protection and privacy laws, including Regulation (EU) 2016/679 (GDPR), applicable national data protection laws, ePrivacy rules and any applicable rules on cookies, tracking technologies and electronic marketing.
10.2. Affiliates are responsible for providing all legally required privacy notices, cookie notices and consent mechanisms on their own websites, apps, email lists, social media channels and other promotional channels.
10.3. Affiliates must not send unsolicited commercial communications, use purchased email lists, scrape personal data, or process personal data in a manner that violates applicable data protection, privacy or electronic marketing laws.
10.4. Where Affiliates use affiliate links, tracking technologies, pixels, cookies or similar technologies, they must clearly disclose such use to users where required by law and obtain any necessary consent.
10.5. Novel Nutraceuticals reserves the right to request information about an Affiliate’s privacy practices and to suspend or terminate an Affiliate account where privacy or data protection compliance concerns arise.
11. TERMINATION
11.1. You may terminate this Agreement at any time by deleting your Affiliate account or by providing written notice to Novel Nutraceuticals.
11.2. Novel Nutraceuticals may suspend or terminate this Agreement, your Affiliate account or your participation in the Reakiro Affiliate Program at any time, with or without cause, by written notice or email notice.
11.3. Novel Nutraceuticals may terminate this Agreement immediately if you breach this Agreement, violate applicable law, create legal or reputational risk, engage in prohibited promotional activity, make unauthorised claims, commit fraud, manipulate tracking, engage in self-referrals, abuse coupons, send spam, or misuse Novel Nutraceuticals, Reakiro or SOOL brand assets.
11.4. After termination, sales associated with your Affiliate account will no longer be tracked and you will no longer qualify for future commissions.
11.5. If approved commissions are due at the time of termination, they may be paid after any applicable holding period and compliance review, unless termination results from breach of this Agreement or prohibited activity.
11.6. No outstanding commission payments will be due if your account is terminated due to breach of this Agreement, fraud, unlawful activity, prohibited advertising, unauthorised claims, self-referrals, coupon abuse, spam or other misconduct.
11.7. Upon termination, you must remove all Affiliate Links, Affiliate Coupons, Approved Materials, Product claims, images, logos, trademarks, slogans and other references to Reakiro, SOOL or Novel Nutraceuticals from your Affiliate Site and promotional channels within 3 business days, or sooner upon request.
11.8. Once the Affiliate account is terminated, this Agreement is terminated automatically, except for provisions that by their nature should survive termination.
12. AMENDMENTS
12.1. Novel Nutraceuticals reserves the right to amend, update or replace this Agreement at any time.
12.2. Any amendments will become effective when posted on our website or affiliate portal, unless otherwise stated.
12.3. The current version of this Agreement will be made available on our website or affiliate portal.
12.4. If you do not agree with any amendment, you must stop participating in the Reakiro Affiliate Program and may terminate your account.
12.5. Continued participation in the Reakiro Affiliate Program after the effective date of any amendment constitutes acceptance of the amended Agreement.
13. LIMITATION OF LIABILITY
13.1. The Reakiro Affiliate Program is provided on an "as is" and "as available" basis. The use of the program is entirely at your own risk.
13.2. Novel Nutraceuticals makes no representation or warranty that the affiliate platform, tracking, links, coupons, dashboard, reporting or payout functions will be uninterrupted, error-free or free from technical issues.
13.3. Novel Nutraceuticals shall not be liable for indirect, incidental, consequential, special, punitive or exemplary damages, including loss of revenue, loss of profit, loss of goodwill, loss of business opportunity, loss of data or reputational harm.
13.4. To the maximum extent permitted by law, Novel Nutraceuticals’ total cumulative liability arising out of or related to this Agreement shall not exceed the total commission actually paid to the Affiliate under this Agreement during the 6 months preceding the event giving rise to the claim.
13.5. Nothing in this Agreement excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
14. INDEMNIFICATION
14.1. You agree to indemnify and hold harmless Novel Nutraceuticals, Reakiro, SOOL, their subsidiaries, affiliates, directors, officers, employees, contractors, agents, shareholders, partners and representatives from and against any claims, actions, demands, liabilities, losses, damages, judgments, settlements, fines, penalties, costs and expenses arising out of or related to:
(a) your breach of this Agreement;
(b) your Affiliate Site or promotional content;
(c) your advertising, marketing, email, social media or other promotional activity;
(d) your medical, health, product, environmental, discount or other claims;
(e) your violation of applicable law, regulation, platform policy or third-party right;
(f) your misuse of Novel Nutraceuticals, Reakiro or SOOL intellectual property;
(g) your data protection, privacy, cookie or electronic marketing practices;
(h) your fraud, negligence, wilful misconduct or prohibited activity;
(i) your tax, invoicing, accounting or payment obligations.
15. CONFIDENTIALITY
15.1. All confidential information, including business, technical, financial, commercial, customer, product, pricing, commission, marketing and performance information, disclosed by one party to the other in connection with this Agreement, will remain the property of the disclosing party.
15.2. Each party shall keep confidential information confidential and shall not use or disclose such information except as necessary to perform this Agreement or as required by law.
15.3. Affiliates must not disclose non-public commission structures, private campaign terms, internal materials, unpublished product information, customer data or confidential business information without prior written approval from Novel Nutraceuticals.
16. MISCELLANEOUS
16.1. You agree that you are an independent contractor, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, employment, sales representative, distributor or reseller relationship between you and Novel Nutraceuticals.
16.2. You have no authority to make or accept any offers, warranties, representations, commitments or obligations on behalf of Novel Nutraceuticals, Reakiro or SOOL.
16.3. You may not assign, transfer or delegate your rights or obligations under this Agreement without prior written approval from Novel Nutraceuticals.
16.4. Novel Nutraceuticals may assign or transfer this Agreement in connection with a merger, acquisition, reorganisation, sale of assets, change of control or transfer of the Reakiro business or affiliate program.
16.5. If any provision of this Agreement is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
16.6. This Agreement constitutes the entire agreement between you and Novel Nutraceuticals regarding your participation in the Reakiro Affiliate Program.
16.7. This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Poland, without regard to conflict of law principles.
16.8. Subject to any mandatory legal rights that may apply, the competent courts of Warsaw, Poland shall have jurisdiction over disputes arising out of or relating to this Agreement.
16.9. Nothing in this Agreement limits any mandatory rights or protections that cannot lawfully be excluded under applicable law.
17. CONTACT
17.1. Questions regarding the Reakiro Affiliate Program or this Agreement may be sent to Novel Nutraceuticals through the contact details provided on www.cbdreakiro.com or through the affiliate portal.
17.2. Official communications may be sent to the email address provided by the Affiliate in the affiliate dashboard. Affiliates are responsible for keeping their email address up to date.
18. ACCEPTANCE
By submitting an application to the Reakiro Affiliate Program, accessing the affiliate dashboard, using an Affiliate Link or Affiliate Coupon, or otherwise participating in the Reakiro Affiliate Program, you acknowledge that you have read, understood and agreed to this Agreement.
